1. Introduction and Acceptance

These Terms of Service ("Terms") govern access to and use of the website at 1st2.ai and the 1ST2 platform (together, the "Services"), provided by 1ST2 Pty Ltd (ABN: 74 698 159 456), an Australian company ("1ST2", "we", "us", "our").

By accessing our website, registering for an account, or otherwise using the Services, you agree to be bound by these Terms on behalf of yourself and the business you represent. If you do not agree, please do not use the Services.

Where you register as a paying customer, your use of the platform is also governed by our Subscription Agreement, which is provided and accepted separately during account sign-up and takes precedence over these Terms in the event of any inconsistency in relation to the paid Services.

2. About Our Services

1ST2 provides an AI-powered platform offering IT support, security and compliance guidance, and HR policy assistance for small and medium businesses operating Microsoft 365 environments. The specific modules and features available to you depend on your subscription plan, as set out in your Subscription Agreement.

3. Eligibility and Accounts

• You must be at least 18 years old and have authority to bind the business you represent to use the Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate and current information when registering and keep it up to date.
• We may suspend or terminate accounts that provide false information or are used in breach of these Terms.

4. AI-Generated Content Disclaimer

The Services use artificial intelligence to generate recommendations, assessments, and support content. AI-generated outputs:

• Are provided for informational and operational assistance only;
• Do not constitute legal, financial, employment, or professional advice;
• May contain errors or be based on incomplete information; and
• Should be reviewed by a qualified professional before being relied upon for significant business, legal, or regulatory decisions.

You remain responsible for reviewing and validating any AI-generated output before acting on it. The Services do not guarantee compliance with any legal or regulatory framework.

5. Subscription Fees and Payment

Paid access to the platform is subject to the subscription fees, billing terms, and payment arrangements set out in your Subscription Agreement, provided at the time of sign-up. Fees are billed in advance and are non-refundable except as required by law.

6. Acceptable Use

You must not use the Services to:

• Breach any applicable law or regulation;
• Infringe the intellectual property or other rights of any third party;
• Transmit malicious code, or attempt to gain unauthorised access to our systems or another user's data;
• Interfere with or disrupt the operation of the Services; or
• Use automated means to scrape, copy, or extract content from the Services without our consent.

We may suspend or terminate access for any breach of this clause. A full Acceptable Use Policy applies to paying customers and is incorporated into the Subscription Agreement.

7. Intellectual Property

All intellectual property rights in the 1ST2 platform, website, and associated content - including software, design, text, and branding - are owned by 1ST2 or its licensors. Nothing in these Terms transfers any intellectual property rights to you. You retain ownership of any data or content you submit to the Services, subject to the licence you grant us to process it in order to provide the Services to you.

8. Third-Party Services

The Services integrate with and rely on third-party providers, including Microsoft 365 and other technology and infrastructure partners. These third parties operate under their own terms and conditions. We do not control, and are not responsible for, the availability, performance, or conduct of third-party services.

9. Disclaimers and Limitation of Liability

To the maximum extent permitted by Australian law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied. Nothing in these Terms excludes any right or remedy that cannot be excluded under the Australian Consumer Law.

To the maximum extent permitted by law, 1ST2's liability arising from or in connection with the Services is limited, and neither party is liable for indirect, incidental, or consequential loss. Full liability terms applicable to paying customers, including applicable caps, are set out in the Subscription Agreement.

10. Indemnity

You agree to indemnify 1ST2 against any loss, cost, or claim arising from your breach of these Terms or your misuse of the Services, to the extent permitted by law.

11. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms, non-payment, or where required by law. Paying customers may cancel their subscription in accordance with the cancellation terms in their Subscription Agreement.

12. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at 1st2.ai. Continued use of the Services after an update constitutes acceptance of the revised Terms. Material changes affecting paying customers will be notified in accordance with the Subscription Agreement.

13. Governing Law

These Terms are governed by the laws of South Australia and the Commonwealth of Australia. Any disputes are subject to the exclusive jurisdiction of the courts of South Australia.
